Who issues a white‑label stablecoin?
A chartered trust company, not the consumer brand, issues white‑label stablecoins. Paxos issues PYUSD for PayPal, holds reserves and contract control; NYDFS halted Paxos minting BUSD in Feb 2023.
A chartered trust company is usually the legal issuer of white‑label stablecoins. The consumer-facing brand that appears on a token typically acts as the distribution partner while the trust company holds reserves, controls the smart contract and carries the obligation to redeem tokens.
In the case of PYUSD, Paxos Trust Company is the issuer. PayPal, as the brand partner, accepts dollar deposits from users and moves them to a Paxos‑controlled bank account. Paxos credits segregated trust reserves and mints an equivalent amount of PYUSD to the brand’s on‑chain wallet. Redemption reverses that flow: Paxos destroys tokens and releases the underlying dollars under the trust’s terms.
The trust company holds reserve assets in segregated accounts as trustee and publishes monthly reserve reports and third‑party attestations. Contract‑level controls such as pause, freeze, mint and burn are typically held by the issuer. PayPal’s Form 10‑K describes Paxos as a third‑party issuer and notes Paxos may permit institutional users to transact directly under the issuer’s terms.
Regulatory actions target the issuer. In February 2023 the New York Department of Financial Services ordered Paxos to stop minting Binance USD. That order affected the token issuance even though the Binance brand remained separate from the chartered issuer.
To identify the issuer for any stablecoin, the reserve‑transparency page and the issuer’s attestation name the legal issuer and its prudential regulator. Public company filings for a brand that offers a token also typically state which outside entity issues the token.
Reserves held in trust are segregated from the issuer’s corporate assets and are intended to be bankruptcy‑remote. The legal protections and redemption procedures depend on the issuer’s charter and the terms set out in its trust documents.
