SpaceX to buy Cursor in $60B all-stock deal

SpaceX on June 16, 2026 signed a definitive all-stock merger agreement to acquire Anysphere, the company behind the AI coding platform Cursor. The deal values Cursor at $60 billion and creates a wholly owned SpaceX subsidiary, X67 Inc., which will merge into Cursor while Cursor will continue as a SpaceX subsidiary.

Under the agreement, Cursor shareholders will receive SpaceX Class A common stock that reflects a $60 billion implied equity price. That price will be calculated using the seven-day volume-weighted average price before closing. The transaction is structured as an all-stock deal to preserve cash for SpaceX’s aerospace operations and to align incentives between the companies.

The agreement contains standard regulatory conditions and is targeted to close in the third quarter of 2026, subject to regulatory and shareholder approvals.

The acquisition follows reports in April that SpaceX held a call option to buy Cursor later in the year and comes days after SpaceX’s initial public offering. SpaceX shares have traded near $192 since the IPO.

In an April post on X, SpaceX wrote that “SpaceXAI and @cursor_ai are now working closely together to create the world’s best coding and knowledge work AI.”

SpaceX plans to combine Cursor’s software and developer distribution with its Colossus training system, which the company describes as the equivalent of a million H100 GPUs, to scale model training and deployment.

Cursor’s products include agentic Composer models and other developer tools. The company reports millions of developers, several large enterprise customers and rapid revenue growth.

Officials advised forthcoming SEC filings will include the precise exchange ratio and projections of expected synergies. Markets will follow SpaceX stock reactions and integration milestones after those filings.
