Saylor Teases Large MicroStrategy Bitcoin Buy Ahead of 8-K

MicroStrategy chair Michael Saylor posted a Bitcoin buy tease on May 17, and traders are awaiting an 8-K filing due Monday that may confirm an estimated 15,466 BTC acquired across four active trading days. If confirmed, the additions would rank among the firm’s largest weekly accumulation runs of 2026.
An independent tracker, Strc.live, estimated about 15,466 BTC were added to MicroStrategy’s holdings during the four trading days. Trading in MicroStrategy’s STRC preferred shares set an all-time single-session volume record of 15.1 million shares on Thursday, topping a prior peak from April 14; market participants interpreted the surge in volume as fresh proceeds being deployed into Bitcoin purchases.
MicroStrategy settled a $1.5 billion repurchase of 2029 convertible notes around May 19. The company’s latest public totals show 818,869 BTC held at an average cost of about $75,543 per coin. The expected 8-K should provide specific dollar and bitcoin amounts for the recent purchases.
Roughly 80% of STRC preferred shares are held by retail investors at brokerages including Charles Schwab, Fidelity and Robinhood. MicroStrategy is asking shareholders to approve changing STRC’s 11.5% annual dividend from monthly to semi-monthly payments while keeping the headline rate unchanged. The amendment would shorten the interval between cash flows to holders and may influence demand for the variable-rate preferred shares that have funded a large portion of the company’s Bitcoin purchases this year.
Market participants have linked the recent STRC trading surge to at-the-market issuance and the use of proceeds for acquiring Bitcoin. Investors will watch the 8-K for concrete figures to compare with the tracker estimate, and attention will remain on the upcoming STRC shareholder vote ahead of the next dividend record date.
