IREN registers 11.9M Mirantis shares worth $476M

IREN filed to register 11.9 million Mirantis shares from its $625 million acquisition, creating a potential $476 million resale overhang.

IREN filed a prospectus one day after closing its acquisition of Mirantis to register 11.9 million shares issued at closing. At IREN’s Aug. 3 closing price of $39.75, those shares were worth about $476.3 million and represent nearly 95% of the shares issued at closing.

The acquisition was agreed in May at a signing value of about $625 million. The deal was originally structured around a fixed 13.7 million IREN shares. At closing on Aug. 3, IREN issued 12.6 million shares and provided roughly $40 million in cash, restricted stock units and other consideration. The registration covers 11.9 million of the closing shares held by former Mirantis investors, directors, officers and employees.

Because the registered shares already belong to former Mirantis holders, IREN will not receive proceeds from any resale. The prospectus permits those holders to sell their shares through public market transactions or privately negotiated deals. The filing does not indicate that any holder has sold or intends to sell; removing resale restrictions on most closing shares creates a potential supply overhang if a significant portion reaches the market.

Market trading showed modest movement: IREN shares were down about 3% to $39.76 at the close on Wednesday. The filing itself does not establish that the registration caused the price decline.

IREN described the acquisition as adding Mirantis’ software capabilities to its vertically integrated AI platform. The company frames the stack in three layers: land, power and data centers at the base; GPUs, servers and networking equipment in the middle; and software to deploy, orchestrate, monitor and support AI workloads at the top. Mirantis’ platform manages bare-metal systems, virtual machines and Kubernetes environments, has served more than 1,500 enterprise customers, and supports announced and prospective IREN cloud contracts.

The registration clarifies the liquidity status of the equity issued at closing and allows for possible future sales by former Mirantis stakeholders, though no sales have been reported.
