DeFi Development shuts Treasury Accelerator after $27M Q2 loss
DeFi Development closed its Treasury Accelerator after a $27.287 million Q2 loss, cutting costs and repurchasing convertible debt, according to an Aug. 12 shareholder letter.
DeFi Development Corp. closed its Treasury Accelerator to new deals after reporting a $27.287 million net loss for the second quarter in an Aug. 12 shareholder letter. The firm attributed the quarterly deficit primarily to losses on digital assets while cutting operating expenses and repurchasing convertible debt.
The shareholder letter reported a net loss on digital assets of $21.519 million for Q2, reversing a $21.194 million gain in the same quarter a year earlier. Operating expenses plus cost of goods sold, excluding fair-value changes, fell 22.6% year over year to $4.635 million from $5.990 million. Management expects operating expenses to decline again beginning in the third quarter but did not provide a savings estimate. The company did not disclose realized and unrealized components of the digital-asset loss.
To lower financing costs and potential dilution, the company repurchased about $3.5 million of July 2030 convertible-note principal for roughly $2.3 million in cash, a discount near 35% to face value. Cumulative repurchases totaled about $7.9 million of principal for $5.0 million in cash, which the company estimated would yield annual interest savings in excess of $400,000. The July notes carry a 5.5% coupon, mature in 2030 and are unsecured; their indenture contains no SOL-collateral maintenance or margin-call provisions.
Beginning in late June, DeFi Development issued approximately 478,000 shares through its at-the-market facility for about $1.4 million to cover operating costs. Management estimated the issuance reduced SOL per share by approximately 1.4%, partially offsetting the effect of retiring debt below par.
As of Aug. 12 the company held 2,311,523 SOL and SOL equivalents in treasury. The shareholder letter reported 35.3 million fully converted shares and a fully converted SOL-per-share metric of 0.066, up about 24% from 0.053 a year earlier. The company also reported roughly 31.0 million common shares, 43.7 million fully diluted shares and 27.351 million GAAP diluted weighted-average shares for the quarter.
Leverage remained sizable. Total debt equaled 216% of market capitalization and net debt equaled 104% of the value of SOL and SOL equivalents as of Aug. 12. The company did not disclose the current face balance of its convertible notes after the recent repurchases.
The shareholder letter stated the company will not originate additional Treasury Accelerator transactions. Existing investments made through the program, including positions in ZeroStack and Allied Architects, will remain in place and be managed or monetized when appropriate; the company characterized the closure as not a full liquidation of the Accelerator’s holdings. The letter framed debt repurchases and lower costs as supportive of per-share economics and described the ATM share issuance as dilutive.
